PLEASE READ THESE TERMS OF USE CAREFULLY. THEY ARE A LEGALLY BINDING AGREEMENT BETWEEN YOU AND NEUPORTS SDN BHD.
These Terms of Use ("Terms") govern your access to and use of the Neuports website (neuports.com), the Neuports white-label freight platform, the client-facing pages and portals it powers, its APIs and all related services (collectively, the "Platform"), operated by Neuports Sdn Bhd ("Neuports", "we", "us" or "our").
By accessing or using the Platform, you ("User", "you" or "your") agree to be bound by these Terms. If you accept these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity. If you do not agree to these Terms, you must stop using the Platform immediately.
Where a Customer has signed an order form or subscription agreement with Neuports (an "Agreement"), the Agreement applies together with these Terms. If the two conflict, the Agreement prevails.
1. About the Platform
1.1 Neuports provides a white-label digital freight platform for freight forwarders and other logistics businesses ("Customers"). Customers run the Platform under their own brand, name and web address, and use it to manage quotes, rates, bookings, documents, shipment tracking, client portals, invoicing and related workflows.
1.2 The Platform has three kinds of users:
- (a) Customers and their Authorised Users: the Customer's staff and any agents the Customer invites, who use the Platform to run the Customer's operation.
- (b) End Clients: the Customer's own clients, such as shippers and consignees, who view the tracking pages, portals and documents that the Customer shares with them under the Customer's brand.
- (c) Visitors: anyone who browses neuports.com or requests a demo.
1.3 Neuports is a technology platform provider. We are NOT a licensed customs broker, freight forwarder, carrier, shipping line or transportation company. We do not hold, nor do we operate under, any customs brokerage licence, freight forwarding licence, carrier operating authority, or any other logistics or transportation regulatory licence or permit in any jurisdiction.
1.4 All regulated logistics services connected with the Platform, including customs clearance, customs brokerage, freight forwarding, international transportation, cargo insurance and warehousing, are performed by the Customer or by independent, licensed third parties ("Service Providers"), never by Neuports.
1.5 Neuports provides the technology only. We do not take possession of, transport or insure any cargo, and we are not a party to any contract between a Customer and its End Clients, carriers or other Service Providers.
2. Accounts and Eligibility
2.1 Access to the Platform is set up for Customers by Neuports under an Agreement. You agree to provide accurate, current and complete account information and to keep it up to date.
2.2 You are responsible for keeping your account credentials confidential and for all activity under your account. You must notify us immediately at support@neuports.com of any unauthorised use of your account or any other security breach.
2.3 You must be at least 18 years of age and have the legal capacity to enter into binding contracts. If you use the Platform on behalf of an organisation, you represent and warrant that you are authorised to accept these Terms on its behalf.
2.4 Customers are responsible for the Authorised Users they invite, the roles and permissions they assign, and the access they give to End Clients.
2.5 We may refuse, suspend or terminate any account at any time if we reasonably believe you have breached these Terms, provided false or misleading information, or engaged in fraudulent or unlawful activity.
3. Platform Services
3.1 Shipment Tracking and Visibility
The Platform gathers shipment status from carriers, tracking data providers, and updates entered by the Customer or its overseas agents, and presents it as one shipment status. Tracking information is provided on an "as is" basis and may be delayed or inaccurate because of the third-party sources it relies on. Neuports is not responsible for the accuracy or timeliness of tracking data.
3.2 Client Pages and Portals
Customers can share tracking pages, client portals and documents with their End Clients under the Customer's brand and web address. The Customer decides what is shared, with whom, and for how long.
3.3 Document Processing
The Platform provides AI-assisted tools that extract structured data from uploaded trade documents, such as bills of lading, commercial invoices, packing lists and certificates of origin, and flag fields that need checking.
3.4 Quotes, Rates and Invoicing
The Platform provides tools to prepare quotes, manage rates and issue invoices in the Customer's name. The Customer is solely responsible for its prices, taxes and the invoices it issues to its own clients. Neuports is not a party to any transaction between a Customer and its clients.
3.5 Customs Tools
Where a Customer's subscription includes them, the Platform provides AI-assisted Harmonized System (HS) code suggestions and customs declaration preparation. Suggestions must be independently verified by a licensed customs agent or authorised declarant. The Platform does not submit declarations to any government authority, and all submissions remain the sole responsibility of the licensed customs agent or authorised declarant.
3.6 Modules and Changes
The features available to a Customer depend on its subscription. We may add, change or retire features over time, and will give Customers reasonable notice of any change that materially reduces the services they have paid for.
4. White-Label Use and Branding
4.1 The Customer grants Neuports a limited, non-exclusive licence to use its names, logos, domains and other brand assets solely to provide the Platform under the Customer's brand. The Customer warrants that it has the rights to grant this licence.
4.2 The Customer is responsible for its relationship with its End Clients, including the terms, privacy notices and service commitments it gives them, and for all content it publishes or shares through the Platform.
4.3 The Customer is responsible for the domain names, DNS records and email authentication settings needed to run the Platform on its own web address and to send email from its own domain.
4.4 The Customer may not describe Neuports as performing any regulated logistics service, or use Neuports' name or marks, without our written permission.
5. AI-Assisted Tools: Disclaimer and Limitations
5.1 All outputs of our AI-assisted tools, including extracted data fields, document analysis, HS code suggestions and pre-filled declaration forms, are automated suggestions provided to improve operational efficiency.
5.2 AI-generated outputs:
- (a) Do NOT constitute legal advice, regulatory guidance, compliance advice or professional customs brokerage services;
- (b) Are provided on an "as is" and "as available" basis and may contain errors, inaccuracies or omissions;
- (c) Are intended to assist, not replace, the professional judgement of forwarders, licensed customs agents, brokers and other qualified professionals;
- (d) Must be independently reviewed, verified and validated by the User or their appointed licensed agent before they are relied on or submitted to any governmental or regulatory authority.
5.3 The accuracy, completeness and regulatory compliance of all declarations, filings, classifications and shipment documentation remain the sole responsibility of the shipper and/or the assigned licensed customs agent or broker.
5.4 Neuports is not liable for any regulatory penalties, fines, enforcement actions, cargo delays, seizures or other damages arising from reliance on AI-generated outputs without independent verification.
6. Third-Party Data and Service Providers
6.1 The Platform relies on independent third parties, including carriers, tracking data providers, cloud infrastructure, email delivery and payment providers. Neuports does not control their operations, availability or business practices.
6.2 Each Service Provider is independently responsible for the licences, permits, certifications and regulatory compliance required in its jurisdiction.
6.3 Any contract for regulated services (freight forwarding, customs brokerage, transportation or insurance) is formed directly between the parties to it. Neuports is not a party to such contracts and assumes no liability for their performance.
6.4 The availability of any carrier, data source or Service Provider through the Platform is not an endorsement, guarantee or representation by Neuports of the quality, reliability, legality or regulatory compliance of their services.
7. User Responsibilities
7.1 You are solely responsible for the accuracy, completeness and legality of all information, data and documents submitted through the Platform; for independently verifying all AI-generated outputs before relying on them; for making sure that regulated activities are carried out by, or under the supervision of, appropriately licensed professionals; and for complying with all applicable laws, regulations, sanctions and trade compliance requirements.
7.2 You must not use the Platform for any purpose that is unlawful, fraudulent or prohibited by these Terms, including the shipment of prohibited, restricted or sanctioned goods; circumvention of customs regulations, trade sanctions or export controls; submission of false, misleading or fraudulent documents; unauthorised access to or interference with the Platform's systems or other Customers' data; or any activity that would breach applicable export control, anti-money laundering or counter-terrorism financing laws.
8. Fees and Payment
8.1 Fees, the subscription term, billing frequency and payment terms are set out in the Customer's Agreement.
8.2 All fees are quoted in the currency stated in the Agreement and exclude applicable taxes, duties and levies unless stated otherwise.
8.3 Payments are processed by a third-party payment provider. Neuports does not store or have access to your full payment card details, and all transactions are subject to the payment provider's own terms.
8.4 Unless the Agreement says otherwise, we may change our fees with 30 days' advance written notice, and subscription fees are non-refundable. If a Customer cancels, access continues until the end of the current billing period and no further charges apply.
8.5 Please contact support@neuports.com before initiating a chargeback. We will try to resolve billing disputes within 10 business days. A chargeback started without first contacting us may lead to account suspension until it is resolved.
9. Intellectual Property and Data
9.1 The Platform, including all software, algorithms, AI models, user interface designs, text, graphics and documentation, is the proprietary property of Neuports and is protected by applicable intellectual property laws.
9.2 Each Customer receives a limited, non-exclusive, non-transferable, revocable licence to use the Platform for its own business, and to make it available to its End Clients, in line with these Terms and its Agreement. This licence gives no rights to our AI models, training data or underlying algorithms.
9.3 Customers keep ownership of their brand assets and of all data, documents and content they or their End Clients put into the Platform ("Customer Data"). Customers grant Neuports a limited, non-exclusive licence to process, store and display Customer Data solely as needed to provide the Platform.
9.4 For personal data within Customer Data, the Customer is the data user and Neuports processes it on the Customer's behalf, as described in our Privacy Policy.
9.5 We may use anonymised and aggregated data derived from use of the Platform to improve our services and features. Such data contains no personally identifiable information and cannot be traced back to any Customer, End Client or individual.
10. Limitation of Liability
10.1 To the maximum extent permitted by applicable law, Neuports is not liable for any indirect, incidental, special, consequential or punitive damages, including loss of revenue, cargo, profits, data or business opportunity, arising from the use of the Platform, the acts or omissions of any Service Provider, reliance on AI-generated outputs without independent verification, or any force majeure event.
10.2 Neuports' total liability for all claims arising under these Terms will not exceed the fees paid by you to Neuports in the twelve (12) months immediately before the event giving rise to the claim.
11. Disclaimer of Warranties
The Platform and all associated tools, AI-generated outputs and services are provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. Neuports does not warrant that the Platform will be uninterrupted, error-free or secure, or that AI-generated outputs will be accurate, complete or suitable for any particular regulatory requirement.
12. Indemnification and Termination
12.1 You agree to indemnify and hold harmless Neuports, its officers, directors, employees and affiliates from any claims, damages, losses or expenses arising from your use of the Platform, your breach of these Terms or any applicable law, your misuse of AI-generated outputs, content you publish to End Clients, or any dispute between you and your clients or a Service Provider.
12.2 Either party may end the relationship as set out in the Agreement, or, if there is none, at any time by notice to support@neuports.com. We may suspend or terminate access immediately if you breach these Terms, engage in unlawful activity or fail to pay applicable fees. On termination, your right to use the Platform ends, you remain liable for fees incurred before termination, and Customer Data is returned or deleted as set out in the Agreement.
13. Changes to These Terms
We may update these Terms from time to time. We will notify Customers of material changes by email at least 30 days before they take effect. Continued use of the Platform after that date means you accept the updated Terms.
14. Governing Law and Disputes
14.1 These Terms are governed by the laws of Malaysia. The parties will first try to resolve any dispute arising from these Terms through good faith negotiation for thirty (30) days.
14.2 If negotiation fails, the dispute will be finally settled by arbitration in Kuala Lumpur, Malaysia, under the Arbitration Act 2005 (as amended). The arbitration will be conducted in English, and the award will be final and binding on both parties.
